  • Quick-win synergies: consolidated hosting, single DPO, unified DSA reporting
  • Governance: board composition, reporting cadence, KPI dashboard

Month 3

  • 100-day review with full management team
  • Synergy realization tracking (target: 15–20% OPEX out within 24 months)
  • Finalize 18-month integration roadmap and communicate
  • Begin pan-European expansion plan leveraging SpicyMatch's 19-language UI + JoyClub's DACH brand

Key Risks During Integration

  1. Founder exit cascade — if Ackermann, Noack, or any of the three shareholders leave simultaneously, tribal knowledge on 20-year codebase is lost → mitigate with deep earn-out + stock roll + 24-month transition
  2. Moderation SLA degradation during ops consolidation → mitigate by phasing (JoyClub Leipzig team lifts only after SpicyMatch Cyprus ops fully documented)
  3. Payment-processor reaction to ownership change → notify proactively, negotiate MAC clauses
  4. LfDI Sachsen / BfDI inquiry triggered by ownership-change filing → pre-brief
  5. Brand cannibalization if SpicyMatch is merged into JoyClub prematurely — keep brands separate for 18+ months
  6. Culture clash — Leipzig owner-managed SME culture vs acquirer processes; protect the Selbitz/Leipzig way
  7. International expansion P&L — may be loss-making; decide quickly whether to double down or retrench
