Key Risks During Integration

  • Key-person departure — Ronald Stevens is the single point of failure; 18-month transition + earn-out must be unambiguous

  • Legacy codebase — 27-year stack modernization could take 18–24 months and €1M–€2M of engineering budget
  • BBB F-rating — public signal must be actively remediated, not just left to age out; refund policy overhaul may be required
