Integration Roadmap — SDC
Drafted during Phase 4 DD, finalized at close.
100-Day Plan
Week 1-2
- Announcement / stakeholder communication (members, travel partners, cruise lines, resorts, SDC Media audience)
- Ronald Stevens key-person retention + 18-month transition agreement activation
- Personal CEO introduction to all cruise-line and resort partnership contacts
- Payment processor status audit (CCBill / Epoch / Segpay or incumbent)
- BBB complaint file resolution — respond to the 2 unanswered complaints, clear the F-rating remediation path
- Compliance gap check (18 USC §2257 custodian, DMCA agent, GDPR DPF, CA/FL SOT)
- "SDC Media LLC" vs "SDC Media, Inc." entity consolidation plan
Week 3-4
- Tech stack review — 27-year codebase inventory, security audit, modernization cost estimate
- Moderation workflow audit — team size, SLA, escalation, CSAM tooling
- Access to all systems and data — web, apps, forums, event system, travel-ops booking platform, SDC Media CMS
- Travel-vertical entity/contract transfer execution
- Trademark assignment filing (USPTO "SDC", "Swingers Date Club", "Seek Discover Connect")
Month 2
- Integration with workspace rollup shared services (JoyClub Leipzig moderation team, JoyClub/SpicyMatch combined payments stack, unified DPO)
- SDC Media content cross-posting to JoyClub Magazin and SpicyMatch feeds (content flywheel)
- Quick wins: consolidated affiliate network, unified processor negotiation
- Cruise takeover calendar integration — offer to JoyClub and SpicyMatch premium members as upsell
- Process harmonization — support SLA, refund policy (direct BBB remediation), moderation standards
Month 3
- 100-day review
- Synergy realization tracking vs model
- Longer-term roadmap: codebase modernization (12–24 mo), mobile app rebuild, travel-vertical scaling (4–8 → 15–20 events/yr), SDC Media monetization unlock
Synergies (as part of three-way JoyClub+SDC+SpicyMatch rollup)
- Unified compliance function — one DPO, one 2257 custodian, one DMCA agent, one DSA transparency report covering all three brands; estimated €0.3M–€0.5M/yr savings
- Consolidated moderation — JoyClub Leipzig team absorbs SpicyMatch and SDC moderation load; estimated €0.4M–€0.8M/yr savings
- Unified payments stack — single processor negotiation across combined €35M–€45M volume; estimated 1–2% rate reduction = €0.4M–€0.9M/yr
- Content cross-pollination — SDC Media content distributed to JoyClub and SpicyMatch (zero incremental cost)
- Cross-sell — SDC travel takeovers offered to JoyClub (~5M DACH members) and SpicyMatch (19-language EU base); travel vertical TAM scales materially
- Shared DevOps — one infra team, one observability stack; estimated €0.2M–€0.4M/yr savings
- Total estimated annual synergy: €1.3M–€2.6M (on top of standalone economics)
Key Risks During Integration
- Key-person departure — Ronald Stevens is the single point of failure; 18-month transition + earn-out must be unambiguous
- Travel-partner relationship fragility — cruise lines and resorts may not accept a change of control; partnership contracts need pre-close assignability review
- Legacy codebase — 27-year stack modernization could take 18–24 months and €1M–€2M of engineering budget
- BBB F-rating — public signal must be actively remediated, not just left to age out; refund policy overhaul may be required
- Member-base culture shock — SDC members are the most premium / oldest demographic in the workspace; heavy-handed rebrand or integration will churn loyal paying users
- US jurisdiction complexity for a DACH-led acquirer — SDC's US-specific compliance (2257, DMCA, SOT, state AG) requires US counsel the acquirer may not have
Success Metrics
- Retained paying-user base ≥90% at 12 months post-close
- BBB rating improved to C or better within 12 months
- All 4 MATERIAL compliance items (2257, DMCA, GDPR transfer, SOT) verified clean within 90 days
- Travel-vertical event count ≥8/yr by Month 12 (baseline 4–6)
- Synergy capture ≥€1.0M annualized by Month 12
- Legacy codebase modernization roadmap locked by Month 6
- Ronald Stevens active in advisory role through Month 18
