Why the haircut is defensible

  1. StatShow (148k) and Similarweb rank drift (#75,903 per StatShow vs old note of #49,343) both point to traffic below prior assumption.
  2. ZoomInfo tags revenue as "<$5M" — consistent with a €0.7M–€2.3M band, inconsistent with €3.2M bull.
  3. The nominee director rotation (Muscat → Versemerge) in 2021–2026 is neutral for valuation but slightly raises diligence risk — any LOI should condition on named UBO disclosure.
  4. LinkedIn signals a commission/ambassador model rather than a 15-FTE payroll — if confirmed, OpEx is lower than assumed, so EBITDA margin could be 35–45%, not 25–40%. This partially offsets the revenue haircut.
