Standard phased process applied to every target in targets/.

Phase 0 — Discovery (1-2 days)

Goal: Decide whether to spend more time.

  • Company profile stub (docs/company-profile.md)
  • Corporate structure from public registries (docs/corporate-structure.md)
  • Rough financial estimate (docs/financial-data.md)
  • Sector position (docs/competitors.md)
  • Go / no-go call

Exit criteria: Preliminary score ≥ 2.5 on evaluation rubric.

Phase 1 — Screening (3-5 days)

Goal: Produce scored recommendation.

  • Deep analysis (docs/deep-analysis.md)
  • Score all 7 dimensions (see specs/evaluation-criteria.md)
  • Preliminary valuation range (specs/valuation.md)
  • Sector compliance check against rules/swingers-market-notes.md

Exit criteria: Weighted score + recommendation documented.

Phase 2 — Outreach (varies)

  • NDA signed
  • Initial seller questions sent
  • Management meeting
  • Refined valuation with seller-provided data

Phase 3 — LOI (1-2 weeks)

  • LOI drafted and signed
  • Exclusivity period confirmed
  • Data room access

Phase 4 — Due Diligence (4-8 weeks)

  • Full data room review against specs/data-room-checklist.md
  • Financial DD (QoE report)
  • Legal DD (structure, contracts, litigation)
  • Tech DD (code review, architecture, security)
  • Compliance DD (GDPR, 2257, payment processors)
  • Commercial DD (customer/user interviews if possible)

Phase 5 — SPA & Close (2-4 weeks)

  • SPA negotiation
  • Reps & warranties, indemnities
  • Escrow / earnout structure
  • Signing and completion

Phase 6 — Integration

  • 100-day plan (plans/integration-roadmap.md)
  • Key person retention
  • Payment processor migration plan
  • Tech integration
  • Synergy realization tracking
